1. Acceptance of Terms
By accessing or using MyEmailCenter (“Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.
2. Description of Service
MyEmailCenter provides email-management software that allows you to connect and manage external email accounts (such as Gmail, Outlook, or IMAP/SMTP servers) through a unified interface. The Service uses secure OAuth 2.0 or password-based authentication to connect to third-party email providers.
3. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service, you represent that you meet this requirement.
4. User Responsibilities
You agree that you will:
- Provide accurate and up-to-date information when creating your account.
- Maintain the confidentiality of your login credentials.
- Be responsible for all activity that occurs under your account.
You agree that you will not:
- Use the Service to send spam, phishing messages, or other unsolicited communications.
- Use the Service to distribute malware or engage in any harmful or illegal activity.
- Attempt to gain unauthorized access to our systems or other users’ accounts.
- Violate the terms or policies of any third-party email provider you connect to, including Google’s Gmail Program Policies and Google API Services User Data Policy.
5. Third-Party Services
When you connect an email provider (such as Gmail), you authorize MyEmailCenter to access your data on that service in order to provide the features of the Service. Your use of any third-party service remains subject to that provider’s own terms and privacy policies. We are not responsible for the content or availability of third-party services.
6. Intellectual Property
The Service, including all software, trademarks, logos, and content provided by MyEmailCenter, is owned by Ubiquitous LLC or its licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your personal or internal business purposes in accordance with these Terms.
7. Subscription, Fees, and Changes to Service
MyEmailCenter may offer free and paid subscription plans. Any applicable fees, billing terms, and features of each plan will be described on our website or within the app. We reserve the right to modify or discontinue plans or features, or change pricing, upon reasonable notice as required by law.
8. Termination
We may suspend or terminate your access to the Service if:
- You violate these Terms or any applicable law.
- Your use poses a security or legal risk to us or other users.
- We are required to do so by law or by a third-party service provider.
You may stop using the Service at any time and may request account deletion as described in our Privacy Policy. Upon termination, your right to access the Service will immediately cease.
9. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.
10. Limitation of Liability
To the maximum extent permitted by law, MyEmailCenter, Ubiquitous LLC, and their officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising out of or relating to the Service shall not exceed the amount you have paid to us for the Service in the twelve (12) months prior to the event giving rise to the claim, or one hundred US dollars (US$100), whichever is greater.
11. Indemnification
You agree to indemnify and hold harmless MyEmailCenter, Ubiquitous LLC, and their officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Service or your violation of these Terms.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Effective date” at the top of this page. If the changes are material, we will provide additional notice as required by law. Your continued use of the Service after any changes become effective constitutes your acceptance of the revised Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Connecticut, USA, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Connecticut, and you consent to the jurisdiction of such courts.
